These Terms and Conditions ("Terms") govern access to and use of LMPGuide.org (the "Site") and any content, features, services, newsletters, or other offerings made available through the Site (collectively, the "Services").   By accessing or using the Services, you agree to be bound by these Terms.  If you do not agree, do not use the Services. 

 

1.  Who We Are

For purposes of these Terms, "LMPGuide.org," "we," "us," and "our" refer to the operator of the Site.  If you need to contact us, se Section 18 (Contact Us). 

2.  Eligibility

You must be able to form a legally binding contract in your jurisdiction to use the Services.  By using the Services, you represent that you meet this requirement and that your use of the Services will comply with all applicable laws and regulations.   

3.  Changes to the Services and These Terms

We may modify or discontinue any part of the Services at any time.  We may also update these Terms from time to time.  The "Last Updated" date indicates when the Terms were last revised.  Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.  

4.  Accounts, Security and Communications 

Certain features may require you to create an account or provide information.  You agree to provide accurate information and to keep it up to date.  You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.  If you believe your account has been compromised, notify us promptly.

5.  Acceptable Use

You may use the Services only for lawful purposes and in accordance with these Terms.  You agree not to:

  •   Use the Services in any way that violates applicable law or legislation.

  •   Access, scrape, crawl, or harvest data from the Services, accounts, or systems, or probe or test the      vulnerability of any system.  

  •  Attempt to gain unauthorized access to the Services, accounts or systems, or probe or test the       vulnerability of any system. 

  •  Interfere with or disrupt the integrity or performance of the Services (including by introducing         malware, denial-of-service attacks, or similar harmful conduct.)

  •  Impersonate any person or entity or misrepresent your affiliation with any person or entity. 

  •  Post, transmit, or otherwise make available content that is unlawful, infringing, defamatory, threatening, or otherwise objectionable.  

6.  User Content 

"User Content" means that any content that you submit, post, u[pload, transmit, or otherwise make available through the Services (for example, comments, messages, form submissions, or other materials.)

You retain any ownership rights you may have in your User Content.  However, by submitting your User Content, you grant us your non-exclusive, world-wide royalty fee, sub-licensable license to host, store, reproduce, modify (for formatting), display, perform, and distribute your User Content solely for the purpose of operating, promoting and improving the Services and as otherwise permitted by law.  

You represent and warrant that (a) you have all rights necessary to submit the User Content, and (b) your User Content and our use of it as permitted by these Terms will not violate any law or infringe any third- party rights.   

7.  Intellectual Property 

Except for User Content, the Services and all related content and materials (including text, graphics, logos, design, compilation, and software) are owned by or licensed to us and are protected by intellectual property laws.  Subject to these Terms, we grant you a limited, revocable, non-transferable, non-sublicensable license to access and use the Services for your personable or internal informational purposes. 

 

8.  Educational/Informational Purpose; No Professional Advice 

The content provided through the Services is for general informational and educational purposes only.  It is not legal, medical, financial, or other professional advice.  You should consult a qualified professional for advice tailored to your situation.  Your use of any information obtained through the Services is at your own risk.   

 

9.  Third-Party Services and Links 

The Services may contain links to third-party websites, resources, advertisements, or services.  we do not control and are not responsible for third-party content, products or services.  Your interactions with third parties are solely between you and the third party and may be governed by their terms and privacy policies. 

 

10.  Feedback  

If you provide suggestions, ideas or feedback about the Services ("Feedback"), you agree that we may use the Feedback without restriction or compensation to you.  

11.  Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" BASIS AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUARY, INCLUDING IMPLIED WARRANTIES OF MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGMENT. WE DO NOT WARRANTY THAT THESE SERVICES WILL BE UNINTERUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE OR COMPLETE. 

 

12.  Limitation of Liability  

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR AFFILIATES, LICENSORS, SERVICE PROVIDERS, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DANAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARRISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.   

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARRISING OUT OF OR RELATING TO THE SERVICES OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US(IF ANY) FOR ACCESS TO THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. 

 

13.  Indemnification

You agree to defend, indemnify, and hold harmless us and out affiliates, licensors, and service providers, and our and their officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable attorney's fees) arising out of or relating to (a) your use of the services, (b) your User Content, or(c) your violation of these Terms or applicable law.   

 

14.  Privacy   ​

Our collection and use of personal information (if any) is described in our Privacy Policy.  Please review the Privacy Policy to understand our practices.  

15.  Copyright Complaints 

If you believe content on the Services infringes your copyright, please contact us with (a) indemnification of the copyright work you claim has been infringed, (b) indemnification of the material you claim is infringing and where it is located on the Services, (c) your contact information, (d) a statement that you have a good-faith belief the use is not authorized, and (e) a statement, under penalty of perjury, that the information that you provide is accurate and that you are the copyright owner or authorized to act on the owner's behalf. 

 

16.  Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we believe that you have provided these Terms or if we choose to discontinue the Services.  Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.   

 

17.  Governing Law; Venue 

These Terms and any dispute arising out of or relating to the Services will be governed by the laws of Massachusetts/USA, without regards to its conflict of laws principles. You agree that any legal action or proceeding will be brought exclusively in the state or federal courts located in Bristol County/Massachusetts/USA, and you consent to personal jurisdiction and venue in such courts.

19.  Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and is regarding the Services and supersede any prior or contemporaneous agreements.  

  • Severability:  If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. 

  • No Waiver:  Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. 

  • Assignment:  You may not assign these Terms without our prior written consent.  We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
